If you are a business owner or shareholder considering restructuring your company, a demerger may be an option.

Businesses do not always move in a single direction, and situations can arise where shareholders wish to pursue different strategies or separate particular assets from the wider organisation.

Kirk Rice provides specialist advice on business demergers. Our tax specialists can advise on the available structures, including statutory demerger, capital reduction demerger and liquidation demerger, and help ensure the process is handled correctly within the relevant rules.

If you are considering restructuring your business through a demerger, please contact info@kirkrice.co.uk

Why consider a demerger for your business?

Shareholders may want to take the company in different ways, or there may be commercial reasons to separate out parts of the organisation.

A demerger can provide a clean solution, allowing each part of a business to continue its own path. Done correctly, it may also deliver significant tax savings, but the rules are complex and need informed handling.

      What is a demerger?

The funder’s conditions for the timing and scope of an IAR are set out in the grant agreement. Common trigger points include submission of a final project claim and milestone or stage-based drawdowns. Understanding these requirements early may help reduce the risk of delays later in the claims process, particularly where deadlines apply.

      • Small: less than 50 employees, and either turnover or gross assets not exceeding €10 million.
      • Medium: less than 250 employees and either turnover not exceeding €50 million or gross assets of less than €43 million.

The three main types of demerger explained:

      • Statutory demerger: Provided for directly in company law and often the simplest approach.
      • Capital reduction demerger: Uses a restructuring of share capital to split the business.
      • Liquidation demerger: Applies where a company uses a formal liquidation process to segregate businesses and assets between shareholders.

When might a demerger be right for your business?

A demerger is particularly useful when shareholders want to agree on a strategy or wish to pursue different opportunities. It is also relevant when a business is preparing for a sale but wants to remove certain assets, such as property, first. When executed correctly, it aims to be tax efficient.

Additionally, if shareholders disagree with the company’s direction a demerger can assist by partitioning different aspects of the business into separate entities. Common reasons businesses consider a demerger:

      • Dividing assets when selling your business
      • Shareholders groups wanting to take separate paths
      • Adjusting business structure for diversification and family growth
      • Protecting Business Asset Disposal Relief and Business Property Relief
